Terms of sale and licence
Last updated: 18 October 2026
1. Subject
These terms govern the use of the SDSHotel software (the "Software"), provided online by Thomas Fait, [INDIRIZZO], VAT no. [P.IVA] (the "Provider"), to the customer who signs up on the site (the "Customer").
2. Who can buy
The Software is sold exclusively to businesses and professionals with a VAT number, for use related to their business. By signing up, the Customer declares to act in this capacity. Consumer protection rules, including the right of withdrawal, therefore do not apply.
3. Free trial
The Customer can try the Software free of charge for 30 days, with no obligation to buy and without giving any payment details. At the end of the trial the Software is locked until the Customer buys the licence; the data entered is kept.
4. Price, payment and invoice
The price of the licence is the one shown on the site at the time of the order. Payment is made by bank transfer, with the payment reference given by the Provider. The licence is activated when the payment is received. The Provider issues an electronic invoice to the tax details provided by the Customer, who guarantees they are correct.
5. Licence and annual fee
The licence gives the Customer the non-exclusive, non-transferable right to use the Software for its business, with no time limit. From the second year an annual fee is due, at the price shown on the site, covering hosting, updates and support. The fee is paid by the due date notified by the Provider. The Software, its code and trademarks remain the property of the Provider.
6. Suspension for non-payment
If the annual fee is not paid by the due date, the Provider may suspend access to the Software until payment. During the suspension the Customer's data is not deleted and remains available for 90 days; after this period without payment the contract is deemed terminated and article 10 applies.
7. Availability, support and backups
The Provider undertakes to keep the Software working and available with professional diligence, except for interruptions for maintenance or causes beyond its control (for example hosting or network failures). Support is provided by email on working days. Data is saved with the hosting provider's backups; the Customer is still advised to export important data regularly.
8. Limitation of liability
Except for wilful misconduct or gross negligence, the Provider's liability for any damage related to the Software is limited to the amount paid by the Customer in the 12 months before the event. The Provider is not liable for indirect damage, loss of profit or loss of data due to causes beyond its control. The Customer is responsible for the data it enters and for how it uses it.
9. Personal data
The Customer's data is processed according to the Privacy policy. For the personal data the Customer enters in the Software the Provider acts as data processor, under the Data Processing Agreement, which is part of these terms.
10. Duration and termination
The contract lasts as long as the licence and the fee are active. The Customer can stop using the Software at any time; fees already paid are not refunded. On termination, at the Customer's request made within 30 days, the Provider delivers a copy of its data in a readable format; the data is then deleted.
11. Governing law and jurisdiction
These terms are governed by Italian law. The Court of [CITTÀ DEL TRIBUNALE] has exclusive jurisdiction over any dispute.
12. Changes
The Provider may update these terms by notifying the Customer by email at least 30 days in advance. If the Customer does not agree it can stop using the Software before the changes take effect.
